Terms of Service
It is a legal agreement that outlines the rules, responsibilities, and expectations between a website, app, or service provider and its users.
1. Definitions
These Terms of Service govern the relationship between you ("Client") and Jesko Labs, a web design and development agency operated by Thomas Vincent. "Services" refers to all web design, development, branding, e-commerce, and digital marketing work we provide, while "Deliverables" means all work products we create for you, including websites, designs, code, and documentation.
2. Services
Jesko Labs provides custom website design and development on Shopify and Framer, brand identity development, e-commerce setup, payment gateway integration (Stripe, Tilopay), inventory management (Qoblex), shipping logistics (DHL, FedEx, USPS), email marketing (Klaviyo), SEO optimization, and POS integration. Our services involve third-party platforms, and their use is subject to their respective terms. Some features like Stripe and Apple Pay may require you to have an LLC.
3. Payment Terms
All prices are quoted in USD. For one-time projects (Launch Packs), we require a 50% deposit to begin work and the remaining 50% upon final approval before launch. Monthly subscriptions (Growth Packs) are billed in advance with minimum commitment periods. Invoices are due within 7 days, and late payments may result in work suspension, a 5% monthly late fee, or service termination after 30 days.
4. Project Process
Project timelines are estimates based on typical scope and assume timely client feedback. You agree to provide all necessary content and materials promptly, respond to feedback requests within 5 business days, and designate a single point of contact. Each package includes a specified number of revision rounds; additional revisions may incur extra fees. Any scope changes must be agreed upon in writing and may affect timeline and pricing.
5. Intellectual Property
Upon full payment, you own all rights to the final deliverables created specifically for your project, including custom designs, logos, graphics, and content. Jesko Labs retains rights to pre-existing tools, code libraries, and templates used in your project, as well as the right to display completed work in our portfolio. You warrant that all materials you provide are either owned by you or properly licensed.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the project, including business strategies, financial information, customer data, and unpublished materials. This confidentiality obligation survives for two years after the end of our working relationship.
7. Warranties and Disclaimers
Jesko Labs warrants that services will be performed professionally and deliverables will substantially conform to agreed specifications. We will correct bugs reported within 30 days of launch at no extra charge. However, we do not guarantee specific business results, traffic, revenue, or search engine rankings, and we are not responsible for issues caused by third-party platforms.
8. Limitation of Liability
Jesko Labs is not liable for indirect, incidental, or consequential damages, including lost profits or business opportunities. Our total liability for any claims shall not exceed the total amount you paid for the specific project or service in question.
9. Cancellation and Refunds
You may cancel at any time with written notice. For Launch Packs, if cancelled before work begins, your deposit is refunded minus a 10% administrative fee; after work begins, you'll be billed for completed work. For Growth Packs, cancellation requires 30 days notice, and early termination during the minimum commitment period may incur fees. Jesko Labs may terminate for non-payment, breach of terms, or if the project involves harmful content.
10. Website Hosting and Maintenance
Websites built on Shopify or Framer are hosted on their respective platforms, and you are responsible for maintaining your hosting account and associated fees. Domain registration is your responsibility unless otherwise agreed. You are also responsible for regular backups unless backup services are included in your Growth Pack subscription.
11. General Provisions
These Terms are governed by the laws of the jurisdiction where our primary business relationship is established (Costa Rica, Spain, or the United States). Disputes will first be addressed through good-faith negotiation. Jesko Labs may modify these Terms at any time, with changes effective upon posting to our website. Neither party is liable for delays due to circumstances beyond reasonable control, such as natural disasters or internet outages.
